Nelson Schwab III co-founded Carousel Capital in 1996, and currently serves as a
managing director. From 1992 to 1995, he was Chairman and Chief Executive Officer of
Paramount Parks, a leading developer and operator of regional theme parks. Mr. Schwab
was Chairman and Chief Executive Officer of Kings Entertainment Company from 1984 until
the company was acquired by Paramount Communications, Inc. in 1992.
Previously, he was Executive Vice President of Cincinnati-based Taft Broadcasting
Company's Attractions Group from 1980 to 1984, where he led a group of senior Taft
executives to form Kings Entertainment Company ("KECO") to acquire the parks from Taft.
Mr. Schwab was instrumental in improving KECO's operations and leading it through a very
successful leveraged buyout transaction, leveraged recapitalization and several acquisitions
and dispositions.
Mr. Schwab is a member of the board of directors of Burlington Industries; First Union
National Bank; Summit Properties, Inc.; Silver Dollar City, Inc.; the Griffin Corporation and
several privately held companies. He also serves on the Board of Trustees of the University
of North Carolina at Chapel Hill and is Chairman of the North Carolina Blumenthal Performing
Arts Center Board of Directors.
Mr. Schwab holds a Bachelor of Arts degree from the University of North Carolina at Chapel
Hill and a Masters of Business Administration degree from The Wharton School at the University
of Pennsylvania.

Brian D. Bailey joined Carousel Capital as a Managing Director in
April 2000. Prior to joining Carousel, Mr. Bailey was with Forstmann Little & Co. , a
New York based private equity firm with over $4 billion in capital. Prior to Forstmann
Little, Mr. Bailey was with The Carlyle Group, a Washington, D.C. based private equity
firm with over $10 billion in capital.
Mr. Bailey formerly held investment banking positions at CS First
Boston and Bowles Hollowell Conner & Co. He has also worked in
the public sector, at both the White House and the U.S. Small Business Administration.
Mr. Bailey holds a Bachelor of Arts degree, in Mathematics and Economics from the University
of North Carolina at Chapel Hill, where he was a Morehead Scholar, and a Masters of Business
Administration degree from the Stanford Graduate School of Business.

Erskine Bowles is a general partner with both Carousel Capital, the
private equity firm that he co-founded in 1996, and
Forstmann Little, a New York based private equity firm with over $4
billion in capital. He also serves as director of the following publicly held
companies: Merck & Co., First Union Corporation, VF Corporation and
McLeod USA.
Previously, Mr. Bowles served in the Clinton administration in a
number of capacities. President Clinton named him White House
Chief of Staff in November 1996. He served as Chief of Staff to the
President until November 1998. Mr. Bowles was Assistant to the
President and Deputy Chief of Staff from October 1994 through
December 1995. Before serving in the White House, Mr. Bowles was
Administrator of the U.S. Small Business Administration from May
1993 through September 1994.
Prior to his government service, Mr. Bowles served as Chairman and
CEO of Bowles Hollowell Conner & Co., a Charlotte-based
investment banking firm he founded in 1975. Under Mr. Bowles'
leadership, Bowles Hollowell achieved a reputation as one of the
country's premier investment banking firms specializing in middle
market transactions.
Before founding Bowles Hollowell, Mr. Bowles was associated with
Morgan Stanley & Co. in its corporate finance group in New York
and was Vice President of Corporate Finance at Interstate Securities
in Charlotte.
Mr. Bowles holds a Bachelor of Science degree in Business
Administration from the University of North Carolina at Chapel Hill
and a Master of Business Administration degree from Columbia
University, where he was a McKinsey scholar. He has also been
awarded honorary doctoral degrees from seven universities and
colleges, including his alma mater, the University of North Carolina at
Chapel Hill.
Mr. Bowles now serves as Vice Chairman of the Carolinas
HealthCare Authority and is Trustee of the Duke Endowment. He serves on the
Board of Overseers of Columbia University Graduate School of Business and
on the Board of Visitors of the University of North Carolina at Chapel Hill.
He also previously served as President of the Juvenille Diabetes Foundation.

Prior to joining Carousel Capital, Mr. Grigg was with Orion Partners,
a private equity group located in Boston, from 1993 to 1995. From 1991 to 1993,
he was with Smith Barney in New York. Mr. Grigg graduated Magna Cum Laude from Yale
University with a Bachelor of Arts degree and holds a Masters of Business Administration
from The Wharton School at the University of Pennsylvania.

Prior to joining Carousel Capital, Mr. Pitt was with the Thomas H. Lee Company, a
private equity group located in Boston, from 1994 to 1996. From 1992 to 1994, he was
in the Mergers and Acquisitions Department of Morgan Stanley & Co.in New York. Mr.
Pitt received a Bachelor of Science degree in Business Administration from the
University of North Carolina at Chapel Hill.

Prior to joining Carousel Capital, Mr. Schmidly served as a director at Gregory & Hoenemeyer,
Inc., a mergers & acquisitions/principal investment firm in Greenwich, Conn., from 1995
to 1998. From 1993 to 1995, he was in the Mergers and Acquisitions Department of Morgan
Stanley & Co., Inc. in New York. Mr. Schmidly holds a Bachelors of Business Administration
degree from Southern Methodist University.

Prior to joining Carousel Capital, Ms. Schrell was the Chief Financial Officer of SouthStar
Steel Corporation from 1995 to 1999. From 1992 to 1995, she was a partner with Jennings
& Schrell, LLC, a firm that provided accounting and computer services to midsize companies.
From 1983 to 1989, she was with Ernst & Young, LLP.
Ms. Schrell is a Certified Public Accountant and holds a Bachelor of Science degree in
Accounting from Bentley College.

Prior to joining Carousel Capital, Ms. Smith was a senior accountant at TransAmerica from 1996
to 1998. From 1995 to 1996, she served as an accounting manager at Employee Benefit Services.

with a Bachelor of Science degree in Accounting.

Prior to joining Carousel Capital Prior , Ms. Imler was an account manager for Hammer
Design Group. Prior to relocating to Charlotte, Ms. Imler was director of marketing
for Chesterfield Custom Homes in Lehigh Valley, PA. She also worked in marketing and
development for Clement Development, Inc. in Charleston, S.C.
Ms. Imler holds a Bachelor of Arts degree in English and Art History from the University
of Maryland at College Park.
